Terms of Service

1. Agreement

By applying to, joining, or using Inner Circle (operated by Intelligent Group, “we,” “us”), you agree to these Terms. If you do not agree, do not use Inner Circle.

2. Membership

Membership is by application and invitation only. We reserve the right to decline or revoke membership at our sole discretion. Membership is personal and non-transferable. Each member receives access based on their purchased tier (Initiate, Builder, Operator, Inner, or Founding 10).

3. Founding 10

The Founding 10 program offers lifetime access at $15,000 (one-time) plus a revenue-share program capped at $10,000/year. “Lifetime access” means for the life of the Inner Circle product. Revenue-share terms are documented separately. Founding 10 closes at 10 members or September 30, 2026, whichever comes first. No refunds on Founding 10 purchases after 14 days.

4. Annual Memberships

Annual memberships (Initiate, Builder, Operator, Inner) renew automatically unless cancelled. Cancellation takes effect at the end of the current billing period. No prorated refunds for partial periods. You may cancel at any time through the member dashboard or by contacting mruiz@intelligentit.io.

5. Community Standards

Inner Circle is a private, high-trust environment. Members agree to:

• Treat all members with respect. No harassment, discrimination, or abuse.
• Keep confidential what other members share in group settings.
• Not share, reproduce, or resell Inner Circle curriculum or content outside the platform.
• Not solicit other members without prior consent from Intelligent Group.

Violations result in a 3-strike suspension process, with Manuel Ruiz as the final arbiter on reinstatement.

6. Intellectual Property

All Inner Circle curriculum, content, and platform features are owned by Intelligent Group. Members receive a personal, non-exclusive license to access content for their own learning. You may not copy, redistribute, or create derivative works from Inner Circle content.

7. Limitation of Liability

Inner Circle is a community and educational platform. We do not provide legal, financial, medical, or investment advice. Results discussed by members or Manuel are not guarantees. To the maximum extent permitted by law, Intelligent Group's liability is limited to fees paid in the 12 months preceding any claim.

8. Termination

We may terminate your membership for material breach of these Terms with 14 days' notice (or immediately for severe conduct violations). You may terminate by cancelling your subscription. Upon termination, your access to Inner Circle ends at the close of the current billing period.

9. Governing Law

These Terms are governed by the laws of New York, USA. Disputes are subject to binding arbitration in New York, NY under JAMS rules, except either party may seek injunctive relief in any court of competent jurisdiction.
